Terms of Service.

By accessing or using Legal Redline (“the Service”), you agree to be bound by these Terms of Service. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these terms.

If you do not agree to these terms, you may not use the Service.

Legal Redline provides AI-powered contract review and analysis tools, including:

• Document upload and processing
• AI-powered contract analysis and risk identification
• Playbook and clause library management
• Team collaboration features
• Review history and audit trails

To use the Service, you must:

• Be at least 18 years of age
• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorised access
• Accept responsibility for all activities under your account

Billing

Subscription fees are billed in advance on a monthly or annual basis, depending on your chosen plan. All fees are non-refundable except as expressly stated in these terms.

Free trial

We may offer free trials. At the end of a trial, you will be charged the applicable subscription fee unless you cancel before the trial ends.

Price changes

We may change our prices with 30 days’ notice. Price changes will take effect at the start of your next billing cycle.

You agree not to:

• Use the Service for any unlawful purpose
• Upload malicious content or attempt to compromise security
• Share accounts or credentials with unauthorised parties
• Reverse engineer or attempt to extract source code
• Resell or sublicense access to the Service
• Exceed reasonable usage limits or abuse system resources
• Upload content that infringes intellectual property rights

Ownership

You retain all rights to the documents, playbooks, and other content you upload to the Service (“Your Content”). We do not claim ownership of Your Content.

License to us

You grant us a limited license to process, store, and display Your Content solely for the purpose of providing the Service to you. This license ends when you delete Your Content or close your account.

Your responsibility

You are responsible for ensuring you have the right to upload content and that Your Content complies with applicable laws and these terms.

You acknowledge and agree that:

• AI analysis is provided for informational purposes only
• The Service does not provide legal advice
• You should consult qualified legal counsel for legal matters
• AI suggestions may contain errors and should be verified
• Final decisions about contracts are your responsibility
• We do not guarantee the accuracy or completeness of AI analysis

The Service, including its design, features, code, and content (excluding Your Content), is owned by Legal Redline and protected by intellectual property laws. You may not copy, modify, or distribute any part of the Service without our written permission.

We treat Your Content as confidential. We will not access Your Content except as necessary to provide the Service, respond to support requests, or comply with legal obligations. We implement appropriate security measures to protect Your Content.

We strive to maintain high availability but do not guarantee uninterrupted service. We may:

• Perform scheduled maintenance with reasonable notice
• Make changes or updates to improve the Service
• Experience downtime due to factors beyond our control

To the maximum extent permitted by law:

• The Service is provided “as is” without warranties of any kind
• We disclaim all implied warranties, including merchantability and fitness for a particular purpose
• We are not liable for indirect, incidental, special, or consequential damages
• Our total liability is limited to the amount you paid us in the past 12 months

You agree to indemnify and hold harmless Legal Redline, its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Service, your violation of these terms, or your violation of any rights of another party.

By you

You may cancel your subscription at any time. Your access will continue until the end of your current billing period.

By us

We may suspend or terminate your account if you violate these terms. We will provide notice unless we believe immediate action is necessary to protect the Service or other users.

Effect of termination

Upon termination, your access to the Service will cease. You may export Your Content before termination. We will delete Your Content within 30 days of account closure, unless retention is required by law.

These terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.

We may update these terms from time to time. We will notify you of material changes by email or through the Service. Your continued use of the Service after changes take effect constitutes acceptance of the new terms.
